USER AGREEMENT

THIS SITE ACCESS AGREEMENT (this "Agreement") sets out the terms under which you ("User") may obtain access to the Library of Law Site.

1. DEFINITIONS

1.1. Contributors- The individuals, firms, partnerships or companies that provide Legal Information on the Site.

1.2. Law Area- An area of law or tax on the Site.

1.3. Legal Information- General non specific information on the law or tax in various jurisdictions which is posted on webpages of the Site by Contributors.

1.4. Owner- Kanguano Limited the owners of the Site.

1.5. Site- The website known as The Library of Law and all information contained in its pages.

1.6. Terms- The terms and conditions governing the use of the Site set out below.

1.7. We - The Owner and the Contributors where the context requires.

1.8. User - The reader of any Legal Information on the Site.

2. INTRODUCTION

2.1. The Site is a proprietary electronic commerce or internet site through which Legal Information may be provided. Contributors will be invited to provide this Legal Information.

2.2. Please review these Terms as well as our Disclaimer and Privacy Policy prior to using the Site. As a condition of access to the Site and use of this Site and in consideration of the mutual covenants and agreements set out below the Owner and User hereby agree to the following Terms . Entering into this Site indicates that you have reviewed the Terms and have agreed to be bound by these Terms without limit or qualification . If you do not agree to these terms you must leave the Site immediately.

3. USE OF SITE

3.1. Access to the Site and the use of information contained on it and Legal Information offered via the Site are governed by the Terms. The Terms are important and are for the protection of the User ("you"), the Contributors and the Owner. If you breach any of these Terms, your right to use this Site automatically terminates. If you do not agree to these Terms, do not use this Site or read the Legal Information or services provided.

3.2. As a condition of your use of the Site, you warrant to the Owner and the Contributors that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

3.3. THE SITE, THE OWNER AND THE CONTRIBUTORS DO NOT PROVIDE LEGAL, TAX OR OTHER ADVISES THEY PROVIDE GENERAL INFORMATION VIA THE SITE ON VARIOUS AREAS OF LAW AND TAX IN ISOLATION. IF YOU HAVE A SPECIFIC LEGAL ISSUE YOU SHOULD CONTACT A PROFESSIONAL ADVISOR COMPETENT IN THE AREA. OUR CONTRIBUTORS MAY BE WILLING ON REQUEST TO REDIRECT YOU TO AN APPROPIATE ADVISOR ON RECEIPT OF THE SPECIFIC FACTS OF YOUR ISSUE OR QUERY SHOULD THEY BE WILLING TO ALLOW YOU TO CONTACT THEM DIRECTLY AND SUBJECT TO THEIR CONDITIONS OF ENGAGEMENT WITH YOU WHICH THEY WILL ADVISE YOU OF AND ALSO SUBJECT TO THE OTHER CONDITIONS SET OUT HEREIN.

4. DISCLAIMER and EXCLUSION of LIABILITY

4.1. The Owner has also set out its Disclaimer policy on the Site which you should read and accept before proceeding. We have given the Legal Information on the Site in good faith. Although We have made efforts to ensure that all of the Legal Information on the Site is accurate at the time of inclusion, we do not represent or warrant that this is the case and it should not be relied upon as such. We reserve the right, in our sole discretion, to change, modify, or discontinue any aspect or feature of this Site in whole or in part, including, without limitation, the content, availability, access and/or the Terms of this Site.

4.2. While reasonable care has been taken in the preparation of the contents of this Site, this Site and all its contents are provided on an "as is" basis. We do not warrant the accuracy, completeness or usefulness of any Legal Information contained on this Site. All warranties whether statutory, express, implied or otherwise are hereby expressly excluded to the fullest extent permitted by law, including without limitation fitness for purpose, satisfactory quality, non-infringement, absence of defect, accuracy or the presence or absence of errors whether discoverable or not and timely delivery. Please take all necessary steps to ensure that the Legal Information you receive from the Site or any pages that may be linked to the Site is correct by contacting an appropriate professional.

4.3. The Site and the Legal Information is not uniformly peer reviewed and while Users are encouraged to contact Contributors to suggest to them that they might correct Legal Information in the content of pages on the Site neither the Site, the Contributor, the Owner or any User have any legal duty to do so and thus all Legal Information read here is without any implied warranty of fitness for any purpose or use whatsoever.

4.4. The Site contains articles on legal, financial, taxation, planning and many other matters where it would be normal to seek specific professional advice. No warranty whatsoever is made that any of the Legal Information contained on the Site is accurate. There is absolutely no assurance that any statement contained in an article touching on legal matters is true, correct or precise. Law varies from place to place and it evolves over time, sometimes quite quickly. Even if a statement made about the law is accurate, it may only be accurate in the jurisdiction of the person posting the Legal Information and also, the law may have changed, been modified or overturned by subsequent development since the entry was made on the Site.

4.5. 4.6. Communication of Legal Information by, in, to or through the Site and your receipt or use of it is not provided in the course of and does not create or constitute an attorney-client relationship with any Contributor and it is not is not intended as a solicitation by the Owner or any Contributor. We do not intend any article, web page, item of Legal Information or Law Area to convey or constitute legal advice and advise you unequivocally that it is not a substitute for obtaining professional advice from a qualified lawyer, solicitor, tax advisor, accountant or other appropriate professional . You should not act upon any Legal Information that you read without first seeking qualified professional counsel on your specific matter. The hiring of a lawyer, solicitor, tax advisor, accountant or other appropriate professional is an important decision that should not be based solely upon website communications, advertisements or the Legal Information provided by any Contributor to this Site.

4.7. Neither the individual Contributors, the Owner, system operators, developers, nor sponsors of the Site nor anyone else connected to the Site can take any responsibility for the results or consequences of any attempt to use or adopt any of the Legal Information or disinformation presented on any web page on this Site. Nothing on the Site should be construed as an attempt to offer or render a legal opinion or otherwise engage in the practice of law or the giving of specific advice.

4.8. Contributors to the Site are not representatives or spokespersons for the Owner or any other Contributor or any of either of their officers, directors, owners, partners, associates, employees, agents or service providers and views or opinions offered by a Contributor are not authorised and do not necessarily reflect those of the Owner or of any other Contributor or any of either of their officers, directors, owners, shareholders, partners, associates, employees, agents or service providers.

4.9. Access to and use of this Site is at your own risk and We do not represent or warrant that the use of this Site or any material downloaded from it will not cause damage to you, your property, your personal circumstances or your business including but not limited to loss of profits, data, business, revenue, goodwill or anticipated savings or for any direct, special, indirect, consequential or economic loss or computer virus infection. We shall not in any circumstances be liable for any loss howsoever caused arising out of or in connection with your access, use of Legal Information or performance of the Site.

4.10. We do not make any representation or give any warranty or undertaking that the functions of the Site will meet your requirements. In no event shall we be liable for any damages whatsoever arising out of the installation or use of any third party software that you use to view the Site. You assume responsibility for using the Site and related content to achieve your intended results and for the use of, and results obtained from, the Site. You are solely responsible for ensuring that you have sufficient and compatible hardware, software, telecommunications equipment and internet service necessary for use of the Site.

4.11. We or anyone connected with the Site cannot in any way whatsoever be responsible for the appearance of any inaccurate or libelous information or for your use of the Legal Information contained in or linked from the Site.

4.12. If you have a request for information or comments we would ask that you please do not send any confidential or sensitive information to any of the Contributors, the Site or to the Owner unless you obtain prior written authorisation to send the information to them.  You cannot be assured that any communication without such authorisation will be considered confidential or an attorney-client communication if the law firm does already represent you. 

4.13. If you choose or advise some other person to contact a Contributor with any query this is a matter entirely between you or such other person and the Contributor. The Owner excludes any liability on its part in relation to this introduction and engagement. Your entire rights shall be governed by the contract that you or any other person may enter into with that Contributor. You should satisfy yourself fully that the Contributor is competent to deal with your query and has the necessary experience, knowledge and resources to deal with your issue. The Owner while it has attempted to identify Contributors who claim to be competent in particular areas of law has not carried out any vetting procedure and gives no warranty in any respect with regard to a Contributors ability to deal with your issue.

4.14. Unless otherwise expressly specified the Contributors listed by the Site are not necessarily certified by or certified as specialists or experts by any professional or governmental agency or authority. The Site does not suggest or seek to suggest that Contributors are specialists or experts. You should satisfy yourself by contacting that Contributor’s professional association that they are so certified prior to either contacting them in respect of an issue or considering the Legal Information posted by them on the Site.

4.15. Designations of the Contributor’s practice area or Designated Law Area is not intended to suggest or represent that they are either competent or only competent in this area, or to suggest any professional or governmental standard by which such experience is measured.

4.16. Designation of a Contributor as having an expertise in a particular Law Area is not intended to denigrate other professionals or firms in any way. The Owner has sought to identify one Contributor for each Law Area but this does not seek to suggest in any way that this Contributor has any greater level of expertise, experience or ability than other professionals carrying on practice in the same Law Area. Should a User wish to contact a professional with regard to their particular issue the Owner encourages them to carry out their own enquiries with regard to the identity of other professionals operating in the Law Area to which their problem relates and to satisfy themselves as to which professional they believe can best advise or represent them.

4.17. The Site is not intended as an advertisement or solicitation in any jurisdiction where the Site could be so characterised and as a result fail to comply with all applicable laws and ethical rules of that jurisdiction.   The Site does not seek to represent anyone based solely upon a visit to this Site or upon advertising, or where to do so would not comply with applicable local laws and rules.

4.18. The Site may from time to time contain advertisements from Contributors, other professional firms or for products or services or links to sites of advertisers. The Owner does not endorse any of the products or services advertised and the User shall satisfy themselves fully with regard to the quality, usefulness or ability of any of the products and services advertised.

5. COPYRIGHTS AND TRADEMARKS

5.1. The Owner owns and operates this Site and unless stated otherwise, all Legal Information and rights belong to us or our Contributors and are protected by copyright and trademark laws. We reserve all rights in such Legal Information that is available on this Site.

5.2. Reproduction of part or all of the contents of the pages of this Site in any form is prohibited other than by the Owner or the Contributor who produced it.

5.3. No part of this Site may be reproduced on or transmitted to or stored in any other website or other form of electronic retrieval system.

5.4. You should assume that everything you see or read on the site is copyrighted unless otherwise noted and may not be used without the written permission of the Owner . You may be legally liable for any misuse of the content of the site.

6. LINKS TO THIRD PARTY WEBSITES

6.1. We may provide links to other websites maintained by Contributors, advertisers or third parties. The links to any such websites are provided for your convenience only. We have no responsibility for the content of any linked website. We do not endorse or make any representations about them, or any information, software or other products, services or materials found there, or any results that may be obtained from using them. If you decide to access any of the third-party websites linked to this Site, you do this entirely at your own risk.

7. PERSONAL INFORMATION

7.1. By using the Site you agree to allow us to collect the following information about you and your use of our Site. Personally identifiable information that you submit to us in connection with your use of the Site will be handled in accordance with our Privacy Policy. Every communication or material you transmit to the Site will be treated as confidential. The contact information you provide (like your name, email, address and other identifying information) will only be disclosed by the Owner to any third party in accordance with our Privacy Policy. We will only use the contact information to contact you for purposes the Owner deems important. Our Privacy Policy may change from time to time so please review it regularly. The Owner will not have any liability to you or others in the event that your contact information is inadvertently disclosed to third parties however this may occur.

7.2. The Owner may collect various types of information from site visitors. The Owner’s web server also collects general data pertaining to every Site Visitor, including the IP address, the domain name, the web page, the length of time spent on the Site, and the pages accessed while visiting the Site. This information is collected to, among other things, aggregate statistical information, facilitate system administration, and improve the content of the Site. The Owner may also retain the content of the communications that are sent to t he Owner . This information may be used to improve/respond to User’s and Contributor’s inquiries regarding the Site. Please see our Privacy Policy for further information of how we use the information we collect.

8. GENERAL ACCESS TO THE SITE

8.1. We will use commercially reasonable efforts to provide uninterrupted access to the Site.However, from time to time, Users may be unable to access the Site due to conditions beyond our control. Such conditions include, but are not limited to, force majeure, acts of God, power outages, and the acts of computer hackers and others acting outside the law.Also, from time to time, access may be unavailable due to software issues, server downtime, increased Internet traffic or downtime, programming errors, regular maintenance of the system, and other related reasons.

8.2. In response to any unavailability of the Site, regardless of the cause thereof , we will use commercially reasonable steps to ensure access is restored within a reasonable period of time. The term "commercially reasonable" means reasonable efforts taken in good faith without an unduly or burdensome use or expenditure of time, resources, personnel or money and we shall have no further obligations or liability in this regard and the User assumes all risks relating thereto .

8.3. The User acknowledges that software programming is inherently complex. The User accepts the risk that the operating system and software included in the Site from time to time may contain inaccuracies and may be adversely affected by computer viruses, unknown programming difficulties resulting in incorrect information or system malfunctions or shut-downs. The Owner will use commercially reasonable efforts to correct any inaccuracies expressly made known to it and that are within its control.

9. FAIR USE WHEN OPERATING AND USING THIS SITE AND SERVICES

9.1Where, in our sole opinion, we believe that there has been any unreasonable usage, suspicious activity, transfer or sharing of usernames, passwords or unauthorised access to information on the Site or any breach of these Terms, we will investigate the matter and our investigation may lead to the suspension, refusal of access to any User or de-activation of any account. We reserve the right to immediately withdraw service in order to protect the integrity, ongoing operation and normal delivery of the Site.

10. PROHIBITED CONDUCT

10.1. You expressly agree to refrain from doing, either personally or through an agent or otherwise, any of the following:

10.1.1. Transmit, install, upload or otherwise transfer any virus, corrupted files, or any other similar software or programs advertisement, communication or other item or process to the Site that in any way affects its use, enjoyment or service, or adversely affects our computers, servers or databases or that may damage the operation of another's computer .

10.1.2. Capture, download, save, upload, print or otherwise retain Legal Information and content available.

10.1.3. Permit or provide others with access to the Site using your user name and any password or otherwise, or the use the name and password of another authorised user.

10.1.4. Copy, modify, reverse engineer, disassemble, redistribute, republish, alter, create derivative works from, assign, license, transfer or adapt any of the software, Legal Information, text, graphics, source code or HTML code, or other content available on the Site.

10.1.5. Remove or modify any copyright, trademark, legal notices or other proprietary notations from the content available on the Site.

10.1.6. Transfer the Site content to another person, "frame," "mirror," "in-line link," or employ similar navigational technology to the Site content or "deep link" to the Site content.

10.1.7. Violate or attempt to violate our security mechanisms, this includes accessing any data or server you are not authorised to access or otherwise breaching the security of the Site or corrupting the Site in any way.

10.1.8. Engage in any other conduct which violates the Copyright and Related Rights Act 2000 or other applicable laws, rules and regulations.

10.1.9. Use any device (such as a "web crawler" or other automatic retrieval mechanism) or other means to harvest information about other Users, Contributors, the Site or us.

10.1.10. Use the Site to violate a third party's intellectual property, personality, publicity or confidentiality rights, upload, download, display, publish, perform, create derivative works from, transmit, modify, reproduce or otherwise distribute information or content in violation of a third party's intellectual property rights.

10.1.11. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of a Legal Information.

10.1.12. Misrepresent your identity or personal information when accessing the Site, forge any TCP/IP packet header or any part of the header information in any e-mail so that the e-mail appears to be generated by us or by a third party.

10.1.13. Post obscene, harassing, defamatory, inappropriate, profane, infringing, indecent, unlawful, violent, pornographic, abusive, threatening, objectionable or illegal material on the Site, post a communication that advocates or encourages criminal conduct or conduct that may give rise to civil liability or violates the legal rights of others.

10.1.14. Restrict or inhibit any other User from using and enjoying the Site.

10.1.15. Conduct or forward surveys, contests, pyramid schemes or chain letters on or from the Site.

10.1.16. Advertise or otherwise solicit funds, goods or services on the Site.

10.1.17. Provide any commercial hosting service with access to the Site and/or the content on the Site.

(together "Prohibited Conduct").

10.2. To ensure that Users of the Site do not engage in Prohibited Conduct, we reserve the right to monitor use of the Site and reserve the right to revoke or deny access to the Site to any person or entity whose use of the Site suggests Prohibited Conduct.

10.3. Access of the materials available at the Site beyond that of normal patterns of use that suggests systematic copying of the materials constitutes abuse of the Site and will result in revocation or denial of access to the Site. The terms "normal patterns" and "abuse" shall be determined solely by us.

11. AMENDMENTS TO TERMS AND CONDITIONS

11.1. We reserve the right to change these Terms at any time by posting changes on the Site. It is your responsibility to review the Terms on a regular basis to ensure you are aware of the latest Terms. If you use this Site after changes have been posted, it will be deemed that you have accepted the amended Terms.

12. SEVERABILITY

12.1. If a provision of these Terms is or becomes illegal, invalid or unenforceable, that shall not affect the legality, validity or enforceability or any other provision of these Terms.

13. no waiver

13.1. If we fail to insist upon strict performance of any of your obligations under these Terms, or if we fail to exercise any of the rights or remedies to which we are entitled under these Terms, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations. A waiver by us of any default shall not constitute a waiver of any subsequent default. No waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

14. NO PARTNERSHIP

14.1. Nothing in this Agreement and no action taken by the parties pursuant to this Agreement shall constitute, or be deemed to constitute, a partnership, association, employment, agency relationship, joint venture or other co-operative entity between the Owner andContributor(s) or User(s).

15. LAW

15.1. This Site established in Ireland in accordance with the laws of Ireland and these Terms and your use of the Site will be governed by the laws of Ireland. If any claim or dispute arises from your use of the Site or any of the information on it, you agree that the Irish Courts will have exclusive jurisdiction over all such claims or disputes. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

16. LIMITATION OF LIABILITY

16.1. Except to the extent required by the applicable law in no event will the Owner, any Contributor or any of either of their officers, directors, owners, shareholders, partners, associates, employees, agents or service providers be liable directly or indirectly to you, any party claiming through you for any special, incidental, consequential, punitive or exemplary damages arising out of the posting or non-posting or the use of any Legal Information provided on the Site or the use of the Site, including without limitation loss of profits and damages that could have been avoided by the use of reasonable diligence and regardless of the nature or cause of such damages even if the Owner had been advised or should have been aware of the possibility of such damages.

16.2. The Owner does not warrant or represent that the Site will be uninterrupted, error free or completely secure. To the extent permitted by applicable law the Owner disclaims any and all warranties of merchantability, fitness for particular purpose and non-infringement. All services are provided on an as is basis.

16.3. Notwithstanding anything else in this Agreement to the contrary, the maximum aggregate liability the Owners or any Contributor or any of either of their officers, directors, owners, shareholders, partners, associates, employees, agents or service providers under any theory of law (including breach of contract, criminal law penalty, tort, strict liability and infringement) shall be a payment of money not to exceed one hundred euro (€100.00).

16.4. Because some jurisdictions do not allow the exclusion of liability or limitation of liability for consequential, incidental or other damage the exclusions contained in this Agreement may not apply to you. If you are dissatisfied with any portion of the Site or with any of these Terms your sole and exclusive remedy is to discontinue using the Site.
